1. General
Welcome to the Live Discount website (hereinafter: the website), operated by Live Discount Ltd., located at 73 Oved Ben Ami Boulevard, Netanya (hereinafter: Live Discount or the company).
2. Agreement to the provisions of the website’s terms and conditions and changes to the website’s terms and conditions.
2.1. Any use of the site and the content contained therein, using any computer or other communication device (such as a cell phone, various handheld computers, etc.), constitutes agreement to these Terms and Conditions (hereinafter: the Terms and Conditions ), and the terms and conditions contained therein.
2.2. The services provided through the website (hereinafter: the website services ) are subject to the terms and conditions detailed in the regulations. The regulations should be read carefully before starting to use the website.
2.3. Live Discount reserves the right to make changes to the Terms and Conditions and therefore the Terms and Conditions may change from time to time. The user of the Site, whether he is a guest on the Site (hereinafter: Guest ), a guest who has made a purchase through the Site (hereinafter: One-time Customer ), a guest who has opened an account on the Site (hereinafter: Registered Customer ), a business owner who has opened an account on the Site as a seller or as an Influencer (a business owner and/or influencer who has opened an account on the Site, hereinafter: Seller ), or a business owner who has purchased the right to advertise on the Site (hereinafter: Advertiser ) (Guest, One-time Customer, Registered Customer, Seller and Advertiser, all hereinafter: [the] User ), must update the Terms and Conditions each time he enters the Site. The changes to the Terms and Conditions will come into effect immediately upon their publication and will apply to the use of the Site services from that time onward.
2.4. Live Discount may, but is not required to, send user(s) notice of a change to the Terms and Conditions.
2.5. Browsing the site and/or ordering services and/or products (together hereinafter: Products ) through the site and/or using it in any way, constitutes a declaration on behalf of the user that he has read the provisions of the regulations, understood them, agrees to the terms of the regulations and undertakes to act in accordance with them. It is clarified that the regulations constitute a binding legal agreement between the user and Live Discount for all purposes and binds the user for all his use of the site.
2.6. The provisions of these Terms and Conditions are added to all other provisions and terms of use found on the Site and together constitute the sole and exclusive agreement between the User and Live Discount. In the event of a discrepancy between the provisions of these Terms and Conditions and other terms of use found on the Site, the provisions of these Terms and Conditions shall prevail.
1 The website’s terms and conditions are written in the masculine form for convenience only but are intended for both women and men equally, and refer to both genders in an equal manner.
3. Website services
3.1. The site offers an online trading platform that focuses on live broadcasts and includes:
3.1.1. Live Event : A live event, including through photos, videos, interactive chat, etc., lasting several hours in a row, during which several business owners present products for sale (hereinafter: Sellers ). In each live event, each Seller will be able to present the products they offer for sale during 18 consecutive minutes, out of the three hours that the event will last. Typically, ten (10) Sellers will participate in a live event.
Each live event will be available for replay and product purchases for an additional 4 hours after the end of the live broadcast.
3.1.2. Private Live Event: An event that allows sellers to conduct a continuous live broadcast for a duration that can range from 5 minutes to 6 hours, depending on the prior agreement between the seller and Live Discount.
Each private live broadcast will be available for replay and product purchases for an additional 24 hours after the end of the private live broadcast.
3.1.3. Promotion and Influence Services (Live Influencer): A connection between sellers and influencers to create collaborations in the presentation of products offered by sellers during live broadcasts, private live broadcasts, and/or activities outside the website.
3.1.4. Advertising services through the website: Providing the advertiser client the opportunity to advertise a product(s) on the website itself, under conditions to be agreed separately between the advertiser client and Live Discount.
3.2. Ordering the website services will be done by opening an account on the website, as detailed in Section 5 of these Terms and Conditions below.
3.3. The site will not provide its services on Saturdays and holidays.
4. Terms of Use on the Website
4.1. The right to use the site is open to anyone who has reached the age of eighteen (18) and has full legal capacity to perform binding legal actions and enter into a binding agreement with Live Discount.
4.2. Purchasing products using the site will only be possible for those who have an active bank account and/or a valid Israeli credit card and who have an active email address, the address of which will be provided by the user when making a purchase using the site or when registering on the site, as the case may be.
A minor who performs actions using the Site will be considered a minor who has received permission from his/her parents/guardians to make a purchase on the Site. The minor’s parents/guardians will be responsible for these actions.
4.3. Any use of the site will be solely in accordance with the provisions of the regulations and all laws, bylaws, procedural instructions, municipal legislation, etc., that apply and/or will apply to the use of the site and the site services and/or that will apply to the use of the Internet and/or to the transfer of content and/or to violations of privacy, including laws in Israel and international laws relating to the use of the Internet, to the transfer of content and/or to violations of privacy.
4.4. The user declares and undertakes as follows:
4.4.1. Not to mislead, not to attempt to mislead and/or cooperate with an attempt to mislead, Live Discount and/or other users, and not to act in bad faith when using the site services.
4.4.2. Not to rent and/or lease and/or sell or trade and/or give and/or transfer in any other way his account on the site to a third party, without receiving Live Discount’s consent thereto, in advance and in writing.
4.4.3. Do not rent, lease, sell, transfer and/or assign an account on the site, directly or indirectly.
4.4.4. Not to create a new or different account or other access to the site services, if his account on the site has previously been closed and/or his access to the site services has been blocked, in accordance with the regulations or by any law.
4.4.5. Do not log into an account on a site that has been rented, leased, traded, gifted, awarded or transferred in any other way without receiving Live Discount’s prior written consent.
4.4.6. Not to broadcast or otherwise distribute any material that is vulgar, obscene, pornographic, sexual or otherwise, or any other material that, according to the test of a reasonable person, is objectionable or constitutes an offense to another.
4.4.7. Do not offer a product whose sale or offer is prohibited by law and/or is subject to legal conditions and these conditions are not met.
4.4.8. Do not offer for sale tobacco products, drugs, medicines, pharmaceutical accessories, research chemicals, cold or hot weapons, ammunition, explosives (including fireworks), weapon parts, stolen or counterfeit or virtual products, products that incite hatred, violence or racial intolerance, products that encourage, promote, facilitate or instruct others to engage in illegal activities, personal information (including, but not limited to, financial information) of any third party, gambling or gambling-related products, multi-level marketing schemes, pyramid schemes, Ponzi schemes, software or hardware that includes anything that could disrupt, damage, limit or interfere with the proper functioning of software, hardware, etc.
4.4.9. Not to commit an act of slander, ridicule, defame, threaten, harass or harm any person based on race, religion, nationality or any other basis.
4.4.10. Do not upload or transmit (or attempt to upload or transmit) files containing viruses, Trojan horses, worms, time bombs, bots, sock puppets, corrupted information or corrupted files or any other information or software that could interfere with the operation of the site and/or the site’s services, whether via mobile phones and/or computers of various types and/or by other users.
4.4.11. Do not disassemble, reverse engineer or make changes to any part of the Site and/or the Site Services.
4.4.12. Not to perform any activity that could disrupt the operation of the site, steal information about users and/or hack the site’s security mechanisms.
4.4.13. Not to commit any violation of contractual, personal, intellectual property rights or other rights of any party, including by way of use, uploading files, transmission, distribution or in any other way of publication, of information or materials available through the website services, in a manner that constitutes a violation of the right to privacy, intellectual property rights – including copyrights, trademarks, patents, trade secrets – or any other right of any party.
4.4.14. Do not create a false identity or multiple identities, or multiple accounts on the site using a false identity or multiple identities, do not create an account in the name of someone other than the user himself, and do not use bots or any other automated programming product to defraud or violate in any way the provisions of the regulations or the terms of use of any third party.
4.4.15. Do not attempt to obtain passwords or other personal information of other users of the website services (whether text, image, video or any other means), including personally identifiable information or financial information.
4.4.16. Not to prepare and/or display any representations in connection with Live Discount that Live Discount has not approved in advance and in writing. The User must obtain approval from Live Discount, in advance and in writing, for the content (including any element, text, graphic, image, video or other content expression) (hereinafter: Content ) of any marketing or commercial advertising that uses the commercial name or trademarks or designs of Live Discount and/or in connection with the Site Services.
4.4.17. Not to be involved in any fraudulent act in relation to payment methods and not to be involved in any activity of tracking advertisers or users in any way.
4.4.18. Not to violate any legal provision, law, by-law, regulations, municipal legislation, etc., and not to encourage and/or promote illegal activity of any kind, including but not limited to, in all matters relating to copyright infringement, trademark infringement, defamation, invasion of privacy, identity theft, hacking, distribution of counterfeit software or other fraudulent activities of any kind.
4.5. If Live Discount determines that a user has acted in bad faith and/or violated the provisions of the Terms and Conditions and/or that his actions are not consistent with reasonable standards, or there is a suspicion of this, it may, at its sole discretion, but is not obliged to, suspend and/or terminate the user’s use of the Site services and/or close all or part of his accounts on the Site and prohibit the user from using the Site services. The foregoing shall not derogate from any other provision in the Terms and Conditions that permits Live Discount to close, suspend, cancel an account on the Site or refuse to provide the service, including under Sections 5.2, 5.5 and 9.7 below.
Live Discount will not be liable for any direct or indirect damage that may result from this. If and to the extent that a user has more than one account, Live Discount may, in such cases, close all of the user’s accounts and/or suspend them, all or some, at its sole discretion.
Live Discount is exempt and is not obligated to notify the user of its determination regarding a violation of the terms and conditions before suspending the user’s access to the website and/or completely terminating their use of the website and/or closing their accounts on the website.
4.6. Where Live Discount has suspended a user’s use of the site’s services or closed his account on the site, that user will not be permitted to reconnect to the site and/or use the site’s services again, without receiving express consent thereto from Live Discount, in advance and in writing.
No user is permitted to allow a person whose account(s) has been closed and/or suspended by Live Discount to use that user’s account.
4.7. Live Discount may at any time, but is not obliged, to change any part of the website services, including their content and/or suspend and/or discontinue the provision of the website services, in whole or in part, and refuse any user access to the website services.
4.8. The user will be solely responsible for paying any charges levied by any third party in connection with that user’s access to the website and/or use of the website services.
5. Registration on the website
5.1. Registration to the site will be possible automatically after the user confirms his agreement to the provisions of the regulations, by opening an account on the site.
5.2. When opening an account on the site, the user will provide personal information, identification documents and additional documents to verify compliance with the law.
The procedures by which Live Discount operates in collecting and using the aforementioned information are detailed in Section 12 below: Privacy Policy.
When opening an account on the site, the user will be asked to provide Live Discount with information that will include, among other things, his full name, e-mail address, address and telephone number. Some of the data that will be requested to be provided is mandatory information – meaning that an account on the site cannot be opened without providing this information. The mandatory information will be explicitly marked on the registration form. In addition to this information, the user will be asked to choose a password, which will be used to identify him for the purpose of receiving the site’s services. The user undertakes to update the information as provided when opening the account on the site in order to maintain its correctness and accuracy. Furthermore, the user is fully responsible for maintaining the confidentiality of the password and undertakes to notify the company immediately of any unauthorized use of his password and/or any other breach of confidentiality.
Live Discount reserves the right to suspend, cancel, or refuse to provide the service offered to the user on the website in any case where it deems, at its sole and absolute discretion, that the information provided by the user is not genuine, not up-to-date, incomplete, or incorrect at the time of registration or thereafter, all with or without prior notice.
5.3. Opening an account for a seller, influencer, advertiser client:
Without detracting from the generality of the above, opening an account for a seller, influencer, or advertiser client is conditional on providing appropriate supplementary information as required separately by a representative of Live Discount, including but not limited to certifications of corporate establishment documents and/or a licensed dealer (as applicable), bank account details, a certificate of exemption from withholding tax, a certificate of proper bookkeeping and record-keeping according to the Public Bodies Transactions Law (Enforcement of Bookkeeping and Payment of Tax Debts), 1976, and more, at the discretion of Live Discount—along with receiving separate approval from Live Discount for opening an account for the seller, influencer, or advertiser client (as applicable).
5.4. To the extent that the user has already identified himself within the framework of another digital commerce site through which he uses the site’s services, use of the site’s services will be based on providing details identical to the identification details that the user provided to the said digital commerce site.
In such a case, the user will be solely responsible for maintaining the confidentiality of the above identification details. Live Discount will not bear any responsibility for unauthorized use by a third party of the said identification and/or login details.
5.5. Live Discount reserves the right to refuse to allow any party to provide access to the site services and/or additional services and/or to manage an account on the site.
6. Subscriptions for sellers
6.1. Standard subscription
6.1.1. A subscription that gives the seller the right, during the subscription period, to:
6.1.1.1. Access to the area designated for sellers on the site;
6.1.1.2. Assistance in setting up and operating the area on the site where the seller will display product(s) on the site (hereinafter: store) . The service will be provided by email only; Live Discount will respond to such inquiries within 7 business days (hereinafter: basic technical support );
6.1.1.3. Access to live events (Live Event) except for private live events (Private Live), without restriction;
6.1.1.4. Access to one Private Live event per calendar month;
6.1.2. For a standard subscription, the seller will pay Live Discount:
6.1.2.1. A sales commission of 18% of the sales price (including VAT) (hereinafter: the sales price ), of each product that the seller sells and/or supplies through the website; and-
6.1.2.2. A clearing fee of 0.6% of the sales price paid via an Israeli credit card. In the case of payment via a tourist credit card (overseas), the clearing fee will be 3.5% of the sales price (hereinafter: the clearing fee ).
6.2. Live Plus Subscription ( Live+ ):
6.2.1. A subscription that gives the seller the right, during the subscription period, to:
6.2.1.1. Access to the area designated for sellers on the site;
2.2.1.2. Basic technical support;
6.2.1.3. Access to live events (Live Event) except for private live events (Private Live), without restriction;
6.2.1.4. Access to three (3) Private Live events each calendar month;
6.2.2. For a Live Plus subscription, the seller will pay Live Discount:
6.2.2.1. A monthly payment of 59 NIS; and-
6.2.2.2. A sales commission of 17% of the selling price of each product and/or service that the seller sells and/or provides through the website; and-
6.2.2.3. Clearing fee.
6.3. Live Premium Subscription :
6.3.1. A subscription that gives the seller the right, during the subscription period, to:
6.3.1.1. Access to the area designated for sellers on the site;
6.3.1.2. Assistance in setting up and operating a store sold on the site for up to 2 hours per day, via WhatsApp and telephone.
6.3.1.3. Access to live events (Live Event) except for private live events (Private Live), without restriction;
6.3.1.4. Access to five (5) Private Live events each calendar month;
6.3.2. For a Live Premium subscription, the seller will pay Live Discount:
6.3.2.1. A monthly payment of 89 NIS; and-
6.3.2.2. A sales commission of 16% of the sales price of each product sold and/or supplied by the seller through the website; and-
6.3.2.3. Clearing fee.
6.4. Live Gold Subscription :
6.4.1. A subscription that gives the seller the right, during the subscription period, to:
6.4.1.1. Access to the area designated for sellers on the site;
6.4.1.2. Assistance in setting up and operating a store on the site for up to 2 hours per day, including via WhatsApp and telephone, as well as allowing the subscriber to send Live Discount photos and details of their products sufficiently in advance before the live broadcast, and a representative from Live Discount will enter these photos and details into the site’s system, so that they are ready for the live broadcast (hereinafter: online technical support ).
6.4.1.3. Access to live events (Live Event) except for private live events (Private Live), without restriction;
6.4.1.4. Access to eight (8) Private Live events each calendar month;
6.4.2. For a Live Gold subscription, the seller will pay Live Discount:
6.4.2.1. A monthly payment of 199 NIS; and-
6.4.2.2. A sales commission of 15% of the sales price of each product sold and/or supplied by the seller through the website; and-
6.4.2.3. Clearing fee.
6.5. The amounts and fees due to Live Discount as detailed above are exclusive of VAT. Each payment to Live Discount as stated must include VAT at the rate set by law on the date the payment is actually made.
6.6. The seller will pay Live Discount the commissions due from him to Live Discount, as detailed in these regulations below.
7. Direct communication between seller and customer and payment to Live Discount
7.1. Live Discount is solely a technology provider that enables business owners to connect with buyers, share and sell products through the Site. Live Discount is not a party to any purchase transaction made using the Site and will not be considered a seller and/or offering for sale of any products to users.
The contractual relationship of users on the site is solely with the sellers, except in cases where it is expressly stated otherwise, that is, any transaction made by a user in connection with products on the site is a transaction carried out directly between the user and the seller only.
With regard to the relationship between the seller and the buyer, the buyer and/or the seller will not have any claim against the site and/or Live Discount.
7.2. The customer will pay the consideration for the product he purchased via credit card payment to Live Discount’s account.
Upon completion of the customer’s credit card payment as stated, Live Discount will issue and send a receipt to the customer’s email address, stating, among other things, that:
7.2.1. The receipt is for payment to the seller via Live Discount.
7.2.2. The tax invoice for the purchase transaction will be produced by the seller and sent by the seller to the customer.
7.2.3. The responsibility regarding the product and its delivery to the customer applies solely to the seller.
7.3. Within seven business days after the credit card company credits Live Discount’s account for the payments paid by customers for the seller’s products during the previous month, Live Discount will calculate the total payments due to the seller as stated, deduct from them the payments due to Live Discount from the seller for the previous month, plus VAT as specified above, and transfer the remaining consideration (hereinafter: the remaining consideration ) to the seller’s bank account in accordance with the bank account details provided by the seller to Live Discount, against receipt of a duly prepared receipt from the seller.
It is hereby clarified that payment of the remaining consideration that will be received by the seller from Live Discount will be made only after the product has actually been delivered to the customer and after receipt of a copy of the tax invoice delivered to the customer, a copy of the delivery note to the customer, and a reference to Live Discount’s satisfaction regarding the receipt of the product by the customer.
Notwithstanding the above, if and to the extent that the product is supplied to the customer by Live Discount or someone on its behalf, payment of the remaining consideration that will reach the seller from Live Discount will be made within seven business days after the credit card company credits the Live Discount account for the consideration paid by the customer for the said product – provided that the seller has previously provided Live Discount or someone on its behalf with the product packaged and ready for shipment to the customer, along with a tax invoice that the seller issued to the customer for the purchase of the product and a copy of the shipping certificate to the customer as detailed in Section 8.4 below.
7.4. If a transaction is canceled by the buyer, the seller will immediately notify Live Discount in writing, along with all details of the transaction and proof of Live Discount’s approval of its cancellation (hereinafter: Cancellation Report ), and the following instructions will apply:
7.4.1. After receiving a cancellation report, Live Discount will refrain from charging the buyer’s credit card, if the charge has not yet been made.
7.4.2. If Live Discount is notified of a cancellation, before Live Discount is credited with the consideration paid by the customer, before the seller issues a tax invoice in favor of the customer for the canceled transaction, and before the remaining consideration is paid to the seller, Live Discount will issue and send the customer a negative receipt document.
In the event of a transaction cancellation as stated, the seller will be charged only the clearing fee to Live Discount but will not be charged the sales fee. The clearing fee will be paid to Live Discount upon receipt of a demand to do so.
7.4.3. A cancellation report has been submitted to Live Discount after Live Discount has been credited for the consideration paid by the customer, after the seller has issued a tax invoice in favor of the customer for the canceled transaction and before paying the remaining consideration to the seller, the seller will issue and send the customer a credit invoice for the entire sale amount.
In the event of a transaction cancellation as stated, the seller will be charged only the clearing fee to Live Discount but will not be charged the sales fee. The clearing fee will be deducted from the proceeds due to the seller, as detailed above.
7.4.4. A cancellation report was submitted to Live Discount after Live Discount was credited for the consideration paid by the customer, after the seller produced a tax invoice in favor of the customer for the canceled transaction and after the remaining consideration was paid to the seller, the seller will produce and send the customer a credit invoice for the entire sale amount.
In the event of a transaction cancellation as stated, the seller will remain liable for the payment of the clearing fee to Live Discount, but the seller will be credited for being charged the sales fee. Live Discount will issue and send the seller a credit invoice in an amount equal to the sales fee offset from the balance of the consideration it transferred to the seller and will transfer the amount of the credit invoice to the seller at the same time as the payment of the balance of the consideration to the seller in the following month, unless otherwise agreed between the seller and Live Discount.
8. General conditions for selling products on the site
8.1. Products offered for sale through the Site will be described in detail during live events and/or private live events and/or as part of promotional and influence services, as applicable. The availability of these products is subject to change without notice.
8.2. The seller will only offer for sale products that are in stock and ready for immediate delivery to the customer.
8.3. Prices for products will be displayed in real time and may change and already include VAT.
8.4. The seller will produce a duly prepared tax invoice for the customer’s benefit and send it to the customer at the same time as the product is actually delivered to the customer, along with the shipping certificate.
8.5. Live Discount is not responsible for the quality and/or the nature of the products that will be sold using the site and/or for the correspondence between the advertising of the products on the site and the products actually supplied, and the site and/or its contents and/or the information published through it by the seller should not be seen as a recommendation and/or opinion of Live Discount regarding the products and/or the feasibility of purchasing them.
8.6. The images displayed for products using the site are for illustrative purposes only and are the sole responsibility of the seller.
8.7. After selecting the product, the user will act in accordance with the seller’s purchase instructions displayed on the site.
8.8. The products offered for sale using the site will be provided by the sellers offering the products for sale using the site and under their own responsibility.
Shipping terms are determined by each seller individually. Live Discount is not responsible for any problems related to the shipping of products sold using the site.
The seller is responsible for delivering only a product for which the transaction has been completed and approved by the credit card company and for which the address for delivering the product matches the shipping area specified by the seller.
Notwithstanding the above, the seller will be entitled to purchase from Live Discount the services of shipping the product and delivering it to the customer (which will be provided by someone on behalf of Live Discount), under terms that will be agreed upon separately between the seller and Live Discount.
8.9. Live Discount is not responsible for canceling an order and/or delaying the delivery of a product for any reason.
Any inquiries made after the transaction is completed, including changes and/or cancellations, will be made with the seller only, according to the seller’s contact information as it appears on the site.
8.10. The terms for returns and refunds are determined by each seller individually. The transaction cancellation and product return policy of each seller will be in accordance with the Consumer Protection Law, 5741 – 1981 and the Consumer Protection (Transaction Cancellation) Regulations, 5771-2010.
8.11. Live Discount reserves the right to change the terms of sale of any product at any time, to the extent that they do not comply with legal requirements. The changes will take effect immediately upon their publication on the site.
8.12. The provisions of Section 13.1 below will apply to any engagement between sellers, influencers and/or purchasers using the Site.
9. Intellectual Property Rights
9.1. All copyrights and intellectual property rights in connection with the Site and Site services of any kind, including the information, content, data, trademarks, the design of the Site and Site services and the manner in which the information is presented therein – are the exclusive property of Live Discount or of third parties who have permitted Live Discount to use them. You may not copy, distribute, translate or perform any action of any kind on text, images, trademarks or any other content on the Site.
9.2. The seller undertakes and declares that he owns all copyrights and moral rights in the content that he uploads to the website and that his publication of the content through the website does not infringe any rights of third parties, including under the Copyright Law 5768-2007 and/or the Patents and Designs Ordinance and/or the Commercial Torts Law, 5759-1999 and/or the Defamation Prohibition Law 5725-1965 and/or the Privacy Protection Law, 5741-1981 and/or any other law.
9.3. The Seller hereby grants Live Discount a free, local and international, unlimited license to edit, modify, adapt, publish, translate, copy, reproduce, distribute, market, broadcast to the public, process, translate and use in any other way – at the sole discretion of Live Discount – any content uploaded and/or uploaded by the Seller to the Site, including through print, digital media (including the Site) and other websites.
9.4. These regulations do not grant the user or any other party any intellectual property rights of any kind, including with respect to third-party content (hereinafter: Third-Party Content ) or other rights with respect to the website, the website services and/or the information and/or content of the website.
9.5. You may not copy, reproduce, distribute, publish or use in any other way any information from the site and/or the site, unless prior written consent has been given by Live Discount.
9.6. Responsibility for the use of third-party content during use of the website services applies solely to the user.
Without derogating from any other exemption provision in these Terms and Conditions, Live Discount will not bear any liability for any damage caused to the user and/or any third party, due to the use of third-party content and/or due to reliance on third-party content that appears on the Site. In addition, Live Discount will not bear any liability whatsoever:
9.6.1. The availability, accuracy, completeness, correctness, quality of third-party content on the site and/or the legality of the use of third-party content.
9.6.2. For any damage or loss resulting from access and/or use of third-party content.
9.6.3. To remove access to third-party content through the website.
9.7. Without derogating from its rights under the Regulations and the remedies to which it is entitled thereunder and under any law, Live Discount shall be entitled, at its sole discretion, to immediately cease any use of the Site services and/or any part thereof, including closing a user’s account, in any case of violation or suspected violation of a third party right in connection with the content of that third party.
10. Availability and access to website services
10.1. Live Discount does not provide equipment to browse the site and/or use its services. The user is solely responsible for ensuring that the computer and/or any other communication device (such as a cell phone, various handheld computers, etc.) that he uses to access the site services, meets all the technical specifications necessary to enable him to access the site and use the site services using one of the following search engines: Edge (version 127 and above), Firefox (version 128 and above), Safari (version 17 and above), Opera (version 111 and above), Chrome (version 127 and above), IOS (versions 17 and above), Android (version 120 and above).
10.2. Live Discount cannot guarantee or undertake that the website services will always operate without interruption, delay or malfunction. Live Discount is not responsible for any interruption, disconnection or delay in communication caused by any such problem or incompatibility or due to other factors over which Live Discount has no control, including but not limited to, due to reasons relating to the user’s local communications network, the existence of a firewall, the user’s Internet service provider, the public Internet network, problems or delays resulting from labor disputes, strikes and/or shutdowns, cessation of activity, shortage or failure of electricity supply, due to equipment failure, due to war, terrorist event, riots or other force majeure event.
11. Limitation of Liability, Exemption and Indemnity
11.1. The user agrees and confirms that accessing the website and using the website’s services are at their sole responsibility, and that Live Discount will not be liable for any damage, direct or indirect, caused to the user as a direct or indirect result of accessing the website and/or using the website’s services.
11.2. The website services are provided as is and as available. The user is solely responsible for any act and/or omission committed and/or may be committed by way of reliance on the website and/or the website services. Live Discount, its managers, employees and/or agents, do not and will not have any liability, express or implied, in connection with the use of the website and/or the website services and/or the purposes of using the website and/or in connection with the accuracy of the provision of the services and/or the timing of the provision of the services.
Without derogating from the generality of what is stated in the terms and conditions, Live Discount will not be liable for the following:
11.2.1. Error, inaccuracy and/or inconsistency of any content on the website.
11.2.2. Direct, indirect and/or consequential damages, including without derogating from the generality of the foregoing, costs of accessing the site of any kind, personal injury, property damage and/or financial damage, of any kind whatsoever, arising from browsing the site and/or from the use of the site services and/or from the inability to use the site services.
11.2.3. Interruption of communication to and/or from the Site and Site services and/or cessation of such communication.
11.2.4. Unauthorized access to third-party content, secure servers and/or any personal and/or financial information contained therein.
11.2.5. Quality of any information and/or content that reaches the user as a result of browsing the site and/or using the site’s services.
11.3. Without derogating from the generality of the foregoing, Live Discount, its owners, directors, officers, representatives, affiliates, partners, agents, sales representatives and/or employees, shall not bear any liability whatsoever towards the user and/or towards any third party, for any damage, direct and/or indirect, including loss of income, loss of information, that may result directly or indirectly from access to the site and/or from use of the site’s services and/or from information or data that appeared and/or will appear on the site and/or came from the site, whether originating from reliance on representations and/or agreements and/or by virtue of tort law, etc. The user also acknowledges and agrees that Live Discount will not be liable for any representation of any third party (including another user) and/or for any act and/or omission of any third party and will not be subject to any obligation to investigate facts or circumstances relating to representations, acts and/or omissions of third parties. Without derogating from the foregoing, in any event, Live Discount’s aggregate liability limit will not exceed NIS 1,000 in any event or manner.
11.4. The user will indemnify Live Discount, as well as its directors, officers, representatives, affiliates, partners, agents, sales representatives and/or employees, for any liability due to the imposition of liability on any of them and/or for any liability, loss, claim, damage, demand for compensation, costs and legal expenses (including reasonable attorneys’ fees), incurred by any of them as a direct or indirect result of any of the following cases:
11.4.1. The user’s access to the website and/or use of the website services.
11.4.2. Violation of any provision of the regulations by the user or anyone on his behalf.
11.4.3. Violation of third party rights of any kind.
11.4.4. A claim regarding damage to a third party caused by the user and/or by someone on his behalf; or
11.4.5. Damage resulting from content uploaded by the user to the website or shared through the website services.
And all, insofar as the law does not grant exemption from liability in those circumstances.
12. Data Security and Privacy Policy
12.1. Live Discount is committed to maintaining the security of users’ personal data and privacy, in accordance with data protection legislation in Israel.
12.2. Live Discount, as well as sister companies and other sub-entities acting on behalf of Live Discount, may use the information provided by the user in order to provide the user with the website services and/or to provide the user with information regarding the website services. This personal information will not be disclosed or further used for marketing purposes without permission and will not be transferred to a third party without the express consent of the user.
12.3. The site is secured through the use of advanced security measures aimed at ensuring proper use and safe browsing of the site, as well as to maintain the privacy of users.
12.4. The payment methods on the site are secure and compliant with PCI DSS standards according to Israeli law.
12.5. In the event of misuse, Live Discount will act against any activity by any legal means at its disposal, including blocking the user from accessing the site.
12.6. Use of cookies by the website:
12.6.1. The Site uses files that are transferred to the hard drive of the User’s personal computer by a web server and/or to the communication device that the User uses to access the Site’s services, so that the Site’s servers can identify the User quickly and efficiently on repeat visits to the Site and for the purpose of analyzing Site usage data for marketing purposes (hereinafter: Cookie File ). The information contained in the Cookie File is encrypted and can only be decrypted by Live Discount.
12.6.2. The user’s consent to the terms of the regulations also constitutes consent on his behalf to implant a cookie file on his computer, to use the information stored in the cookie file, and to use it for the aforementioned purposes.
13. General
13.1. The exclusive jurisdiction in any matter relating to the Site, the Terms and Conditions and/or the Site Services, their interpretation, application and any matter relating to them, or arising from them, shall be vested solely in the competent court in the Central District of the State of Israel and not in any other court. This agreement shall be governed solely by the laws of the State of Israel and no other law. By browsing the Site and/or using the Site Services, the User hereby waives any claim of improper forum and/or lack of jurisdiction and/or claim regarding the law applicable to such proceedings.
13.2. It is the responsibility of any user who is a resident or citizen of a foreign country or who is in a foreign country when using the site to examine and ensure that the site and the provisions of these Terms and Conditions also comply with the laws of that foreign country. The user will be solely responsible for any violation of the law of a foreign country as a result of using the site’s services.
13.3. The user hereby waives the statute of limitations set forth in Section 5 of the Statute of Limitations Law, 5718-1958, and agrees that the statute of limitations for any cause of action arising from access to the site and/or the site’s services and/or the site will expire within 12 months from the date on which the cause of action arose.
13.4. Live Discount’s failure to take legal action and/or to exercise a right granted to it or its postponement of exercising it shall not be considered a waiver by Live Discount of that right, whether with respect to the same case or to other identical, similar or different cases. A waiver by Live Discount shall not be binding on it, unless the waiver is made in writing.
13.5. If a competent court determines in a final and binding judgment that any term of the Terms and Conditions is invalid, void or unenforceable, that term will be enforced to the greatest extent possible to reflect Live Discount’s intent in formulating that term, and all other provisions of the Terms and Conditions will remain in effect.

14. Messages
Live Discount may deliver notices, including notices regarding changes to the Site Terms, by displaying the changes within the Site Services or displaying a link on the Site to these notices. The User agrees and acknowledges that such delivery and/or delivery via the email address provided when registering for the Site will constitute sufficient delivery, whether or not the notice and/or email is received by the User, and will be deemed to have been actually delivered to the User, for all intents and purposes.
